4. Website Use
Basin Automated maintains a website at www.basinautomated.com. By accessing or using the website, you agree to these Terms.
The website is provided for informational purposes and to facilitate communication with Basin Automated regarding services. You agree not to misuse the website, attempt to gain unauthorized access to any systems, interfere with the website's operation, or use the website for any unlawful purpose.
Basin Automated reserves the right to modify, suspend, or discontinue the website or any part of it at any time without notice.
5. Proposals, Estimates, and Project Approval
Proposals, estimates, quotes, scopes of work, timelines, and recommendations are based on the information available at the time they are prepared.
A project is not considered active until Basin Automated has received any required approval, signed agreement, deposit, payment, access, or onboarding information requested for the project.
Unless otherwise stated in writing, estimates are not guaranteed final prices. Additional work, added features, scope changes, third-party costs, delays, or new requests may result in additional charges.
Approval may be provided by written signature, electronic signature, email approval, form submission, payment of an invoice, or other written confirmation accepted by Basin Automated.
6. Payment Terms
Payment terms, amounts, methods, and schedules will be described in the applicable invoice, proposal, agreement, or statement of work.
Unless otherwise stated in writing, invoices are due upon receipt. Basin Automated may require deposits, milestone payments, or recurring payments depending on the project or service.
Basin Automated accepts payment through Square or other payment methods specifically listed on the invoice or written agreement. Payments are made on Square's secure hosted payment pages — we never collect or ask for card details inside this portal.
7. Late Payments
If payment is not received by the due date, Basin Automated may pause active work, delay delivery, suspend services, restrict access, withhold files, or take other reasonable steps until payment is received.
Basin Automated reserves the right to charge late fees, interest, or collection costs on overdue balances. If a late fee applies, it will be stated in the invoice, agreement, or written service document.
Unpaid balances may be referred to collections or pursued through legal action if necessary.
8. Refund Policy
Unless otherwise stated in writing, deposits, setup fees, completed work, approved work, custom work, strategy work, design work, development work, consulting time, maintenance fees, monthly service fees, and third-party expenses are non-refundable.
Refunds are not provided for delays caused by the client, changes in client priorities, unused services, failure to provide content or access, dissatisfaction after approval, third-party platform issues, or cancellation after work has started.
Basin Automated may choose to provide a credit, adjustment, or partial refund in limited situations at its sole discretion, but doing so does not create an obligation to provide future refunds.
9. Cancellation and Termination
Either party may cancel or terminate a project or service by providing written notice to the other party.
If the client cancels after work has started, the client is responsible for payment of all work completed, time spent, expenses incurred, and any non-refundable third-party costs up to the date of cancellation.
Basin Automated may terminate a project or service if the client fails to pay, fails to communicate, breaches these Terms, or if continuing the project is no longer practical or reasonable.
10. Scope of Work
The scope of work for each project will be described in the applicable proposal, statement of work, agreement, or written approval.
Work not described in the approved scope is not included. Additional requests, features, pages, systems, integrations, content, or services beyond the original scope may require a separate proposal, additional payment, and written approval before work begins.
Basin Automated is not obligated to perform work outside the agreed scope without additional compensation and written agreement.
11. Revisions and Change Requests
Revision limits, if any, will be described in the applicable proposal, statement of work, invoice, or agreement.
Revisions must stay within the approved project scope. A revision is a reasonable adjustment to work already included in the project. A new feature, new page, new design direction, new system, new integration, new automation, new content request, or major structural change may be treated as additional work.
Basin Automated may require written approval and additional payment before starting out-of-scope work.
12. Client Responsibilities
Clients are responsible for providing timely, accurate, complete, and authorized information, materials, feedback, and access needed for the project.
Client responsibilities may include providing:
- Business information
- Website content
- Images, logos, and brand assets
- Product or service details
- Pricing, policies, and legal information
- Account access and login credentials
- Domain, hosting, CRM, email, Google, or software access
- Google Business Profile access
- Feedback, approvals, and decisions
- Payment according to agreed terms
- Compliance review for the client's own industry and business
The client is responsible for ensuring that all materials provided to Basin Automated are accurate, lawful, authorized, and not infringing on another party's rights.
13. Communication and Response Times
Basin Automated communicates primarily through email, phone, text, video calls, project management tools, and client portals.
Basin Automated will make reasonable efforts to respond to client communications within a reasonable time during normal business hours. Response times may vary depending on workload, project stage, complexity, and availability.
Clients are expected to respond to requests for information, feedback, approvals, and decisions in a timely manner. Delays in client communication may result in project delays, rescheduling, or additional charges.
14. Approvals and Acceptance
The client is responsible for reviewing all deliverables, drafts, designs, copy, websites, systems, automations, integrations, and project materials before approval, launch, publication, or use.
Approval may be provided by email, form submission, signature, payment, verbal confirmation followed by written confirmation, or continued use of the deliverable.
Once work is approved, launched, published, delivered, or used, it is considered accepted unless the client notifies Basin Automated of a material issue within a reasonable review period stated in writing.
Basin Automated is not responsible for errors, omissions, outdated information, or compliance issues that the client approved or failed to identify during review.
15. Ownership of Work
Unless otherwise stated in a written agreement, after full payment is received, the client owns the final approved custom deliverables created specifically for the client, such as final website content, approved brand materials, completed website pages, and custom project materials.
Basin Automated retains ownership of its pre-existing materials, reusable tools, templates, frameworks, workflows, methods, know-how, code snippets, automation structures, internal systems, processes, concepts, strategies, and general business knowledge.
Unpaid work, draft work, unused concepts, rejected designs, internal files, source files, planning documents, and in-progress materials remain owned or controlled by Basin Automated unless otherwise agreed in writing.
Third-party software, fonts, plugins, stock assets, templates, hosting platforms, domain services, APIs, databases, integrations, and other third-party materials remain subject to their own licenses, terms, and fees.
16. Portfolio and Marketing Rights
Unless the client requests confidentiality in writing and Basin Automated agrees, Basin Automated may display completed work, project summaries, screenshots, client names, logos, website links, general results, or descriptions of services in its portfolio, website, social media, proposals, marketing materials, and sales conversations.
Basin Automated will not intentionally disclose sensitive confidential information in portfolio materials.
17. Third-Party Platforms and Services
Basin Automated may use or work with third-party platforms and tools including Google Workspace, Google Business Profile, Canva, Square, QuickBooks, Zapier, Make, HubSpot, Mailchimp, OpenAI / ChatGPT, Lovable, Supabase, Vercel, GitHub, Meta Business Suite, website platforms, hosting providers, domain registrars, email providers, analytics tools, CRM systems, automation platforms, advertising platforms, and other software services.
Third-party platforms are controlled by their own providers. Basin Automated is not responsible for third-party outages, downtime, bugs, pricing changes, policy changes, account suspensions, loss of access, security incidents, data loss, service changes, discontinued features, billing changes, or platform decisions.
The client is responsible for reviewing and following the terms, policies, billing requirements, and privacy practices of any third-party platforms used in connection with their business or project.
18. Hosting, Domains, and Client Accounts
Unless otherwise agreed in writing, clients are responsible for owning, maintaining, renewing, and paying for their own domain names, hosting accounts, email accounts, software subscriptions, plugins, licenses, advertising accounts, CRM accounts, and third-party tools.
Basin Automated may assist with setup, configuration, connection, migration, or management, but this does not make Basin Automated responsible for the ongoing availability, billing, renewal, ownership, or security of third-party accounts unless expressly stated in a written agreement.
Clients should keep their own account recovery information current and maintain access to critical business accounts.
19. Client Credentials and Access
To perform services, Basin Automated may need access to client accounts, websites, hosting, domains, Google accounts, Google Business Profiles, CRMs, email systems, social media business accounts, databases, repositories, automation tools, or other business systems.
Clients are responsible for providing accurate and authorized access. Clients should not provide access they are not legally permitted to share.
Clients are responsible for removing or changing access when services end, when team members change, or when access is no longer needed. Basin Automated may remove its own access where practical, but the client remains responsible for managing account permissions.
20. SEO, Google Business Profile, and Marketing Results
Basin Automated may provide local SEO, Google Business Profile optimization, website optimization, content recommendations, lead capture improvements, marketing system setup, analytics support, and related services.
Search engines, advertising platforms, social platforms, directories, review platforms, and algorithms are controlled by third parties.
Basin Automated does not guarantee search rankings, Google placement, map pack visibility, website traffic, leads, sales, reviews, revenue, ad results, conversion rates, or business outcomes.
Marketing and SEO results can be affected by competition, budget, business reputation, location, market demand, website history, customer behavior, search engine changes, platform rules, review activity, and many other factors outside Basin Automated's control.
21. Maintenance and Support
Maintenance and support services are limited to the items specifically included in the applicable maintenance plan, support plan, proposal, invoice, or agreement.
Unless specifically included in writing, maintenance and support do not automatically include:
- Major redesigns
- New website pages
- New custom development
- New automations
- Major CRM changes
- SEO campaigns
- Paid advertising management
- Copywriting
- Branding work
- Hosting migration
- Domain migration
- Malware cleanup
- Emergency support
- Third-party platform repairs
- Custom integrations
- Database restructuring
- Legal compliance review
- Full website rebuilds
Additional work may require a separate quote or approval.
22. AI-Assisted Tools and Automation
Basin Automated may use AI-assisted tools, automation tools, and related software to help draft, organize, analyze, troubleshoot, improve, or build client systems and business materials.
When using AI-assisted tools, Basin Automated aims to limit the information shared to what is reasonably needed for the task. Basin Automated does not intentionally submit highly sensitive personal information, protected health information, financial account credentials, or other confidential information into AI tools unless specifically authorized and reasonably necessary for the work.
Clients should not send unnecessary sensitive personal information unless it is required for the project and clearly identified.
AI-assisted outputs may require review, editing, testing, and approval. Basin Automated does not guarantee that AI-assisted content, code, analysis, or recommendations will be error-free, legally compliant, or suitable without human review.
23. Confidentiality
During a project, Basin Automated may receive confidential business information, internal processes, customer lists, pricing information, marketing plans, credentials, technical details, documents, or other non-public materials.
Basin Automated will use confidential information only as reasonably needed to provide services, communicate with the client, manage the project, maintain business records, or protect its legal and business interests.
Clients should clearly identify highly sensitive information before sharing it. Basin Automated is not responsible for protecting information that is publicly available, already known, independently developed, received from another lawful source, or required to be disclosed by law.
24. Client Legal and Compliance Responsibility
Basin Automated provides digital systems, websites, automation, branding, SEO, and operational support. Basin Automated does not provide legal, tax, accounting, insurance, healthcare, financial, employment, or regulatory advice.
Clients are responsible for reviewing their own websites, forms, contracts, privacy policies, terms, industry disclosures, marketing claims, accessibility obligations, data collection practices, customer communications, and compliance requirements with qualified professionals.
Basin Automated does not guarantee that a client's website, CRM, portal, automation, advertising, privacy policy, terms, or business system complies with all applicable laws or regulations.
25. Acceptable Use of Services and Systems
Clients may not use Basin Automated's services, systems, deliverables, websites, automations, forms, portals, or tools for unlawful, abusive, fraudulent, harmful, infringing, deceptive, spam-related, or security-risk activity.
Prohibited uses include:
- Illegal activity
- Fraud or deception
- Harassment or abuse
- Spam or unauthorized marketing
- Malware or hacking
- Unauthorized data collection
- Infringement of intellectual property rights
- Misuse of personal information
- False advertising
- Violation of platform rules
- Activity that harms Basin Automated, its clients, users, vendors, or third parties
Basin Automated may suspend or terminate services if we believe a client is misusing services or creating legal, security, reputational, or operational risk.
26. No Warranties
Basin Automated aims to provide professional, practical, and reliable services. However, services, websites, systems, recommendations, deliverables, and third-party tools are provided on an "as is" and "as available" basis unless otherwise stated in writing.
Basin Automated does not warrant that services will be uninterrupted, error-free, perfectly secure, compatible with all future software changes, or guaranteed to produce a specific business result.
Basin Automated disclaims warranties to the fullest extent allowed by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.
27. Limitation of Liability
To the fullest extent allowed by law, Basin Automated will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost leads, lost business opportunities, business interruption, reputational harm, third-party platform failures, search ranking changes, advertising performance, software outages, or security incidents outside our reasonable control.
Unless otherwise stated in a signed written agreement, Basin Automated's total liability for any claim related to services is limited to the amount paid by the client to Basin Automated for the specific service giving rise to the claim during the three months before the claim.
Some jurisdictions may not allow certain limitations, so some limitations may not apply.
28. Indemnification
The client agrees to defend, indemnify, and hold harmless Basin Automated, LLC and its owners, employees, contractors, vendors, and representatives from claims, damages, losses, liabilities, costs, and expenses arising out of:
- Client-provided content, materials, or instructions
- Client misuse of services or systems
- Client violation of these Terms
- Client violation of laws or third-party rights
- Client products, services, claims, advertising, or business practices
- Client failure to maintain accounts, software, security, backups, or compliance
- Unauthorized access provided by the client
- Disputes between the client and its customers, employees, vendors, or users
29. Service Suspension or Termination
Basin Automated may suspend or terminate services, access, support, or work if:
- Payment is late
- The client violates these Terms
- The client misuses services or systems
- The client fails to provide needed materials or access
- A project becomes inactive
- A third-party platform issue prevents work
- A legal, security, reputational, or operational risk exists
- Continuing the work is no longer practical or appropriate
Termination does not relieve the client of payment obligations for work performed, services provided, third-party costs incurred, or amounts already due.
30. Force Majeure
Basin Automated is not responsible for delays or failures caused by events outside our reasonable control, including severe weather, natural disasters, power outages, internet outages, software failures, platform outages, cyberattacks, labor disruptions, illness, emergencies, government actions, supply chain issues, acts of God, or other circumstances beyond our control.
31. Changes to These Terms
Basin Automated may update these Terms from time to time. When we update these Terms, we will revise the "Last Updated" date above.
Updated Terms will apply when posted on our website or otherwise made available, unless a different effective date is stated. Continued use of our website or services after updated Terms are posted means you accept the updated Terms.
32. Governing Law and Disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.
Unless otherwise required by law or agreed in writing, any dispute related to these Terms, our website, or our services will be handled in the state or federal courts located in Wyoming.
The parties agree to make a reasonable good-faith effort to resolve disputes informally before filing a formal legal claim.
33. Electronic Communications and Signatures
The client agrees that electronic communications, email approvals, form submissions, digital signatures, online payments, invoice payments, and continued use of services may be used to confirm approval, acceptance, authorization, and agreement.
Electronic records and signatures may have the same effect as paper records and handwritten signatures where allowed by law.
34. Severability
If any part of these Terms is found to be invalid, unenforceable, or unlawful, the remaining sections will remain in effect to the fullest extent allowed by law.
35. Entire Agreement
These Terms, together with any applicable proposal, invoice, statement of work, agreement, privacy policy, or written service document, make up the agreement between the client and Basin Automated regarding the applicable services.
Project-specific written documents control over these general Terms if there is a direct conflict.
